in effect45-10.2-78. Foreign limited partnership - Admission of foreign limited partnership -
Transacting business - Obtaining licenses and permits.
A foreign limited partnership may not:
1. Transact business in this state or obtain any license or permit required by this state
until the foreign limited partnership obtains a certificate of authority from the secretary
of state.
2. Transact in this state any business that is prohibited to a limited partnership organized
under this chapter.
3. Be denied a certificate of authority because the laws of the jurisdiction of origin of the
foreign limited partnership differ from the laws of this state.
