(A) The board annually shall elect from among its members a chairman, vicechairman, and other officers as the board determines necessary. (B) The board shall meet quarterly and at other times upon the call of the chairman or a majority of the board. (C) Three members of the board constitute a quorum; however, if there is a vacancy on the board, a majority of the members serving constitutes a quorum. (D) The board shall adopt rules and procedures reasonably necessary for the performance of its duties and the governance of its operations and proceedings. (E) The board may have and use an official seal bearing the name of the board. (F) Any business conducted by the board must be by a positive majority vote. For purposes of this subsection, "positive majority vote" means a majority vote of the entire membership of the board, reduced by any vacancies existing at the time.
