Rental property LLCs in Kansas

Yes, you can hold a Kansas rental in an LLC. You file Articles of Organization with the Secretary of State for $85 online or $90 on paper, and Kansas has no franchise tax for tax years 2011 and after. Instead of an annual report, an LLC files an information report every two years, due April 15. The Kansas catch is the deed: the register of deeds won't record it without a real estate sales validation questionnaire unless an exemption fits. Kansas also allows series LLCs, but each series needs its own filing. Forming the LLC doesn't move your deed, and it doesn't stop a lender's due-on-sale clause.

Local rental rules come first

Kansas sets some outer limits. A city or county can't keep a residential property licensing ordinance that requires periodic interior inspections of privately owned residential property unless the lawful occupant has consented (K.S.A. 12-16,138). It can't require a landlord to hand over a tenant list, except after a citation for a violation on the property (§ 12-16,123), and it can't control rents (§ 12-16,120). Inside those limits, rules are city by city.

Lawrence. Renting a dwelling unit for 30 days or longer takes a city rental license for each unit, and the code defines "Person" to include a limited liability company (City Code §§ 6-1302, 6-1303). The fee is $15 a unit a year (§ 6-1304). Licenses expire on a date set by the first letter of the "registration name" and renew yearly, so putting a rental in an LLC with a different name can change your renewal date (§§ 6-1308, 6-1309). An owner with no local address within forty miles must appoint a resident agent within forty miles (§ 6-1305(C)(2)). Units are inspected on about a three-year cycle, with a $50 per-unit fee in the year of inspection (§§ 6-1310, 6-1311). The inspector asks the occupant for entry, with written consent on a city form, and otherwise can seek an administrative search warrant (§ 6-1313). Renting without a license is a municipal offense fined $500 to $2,500 per unlawful act (§§ 6-1320, 6-1321). Short-term rentals (under 30 days) need a separate license: $17 a year, expiring each December 31, with an inspection at licensing and every two years (§§ 6-13A04, 6-13A05, 6-13A09, 6-13A11). One person can hold at most three short-term rental licenses, counting properties they "own in part," and the city issues none for a non-owner-occupied short-term rental in an RS (single-dwelling) district or in a PUD, PRD, PCD, PID or POD district (§ 6-13A03(B), (C)). The wording reaches anyone who owns or operates the properties, so ask the city how it counts properties held in separate LLCs.

Wichita. The city defines a short-term rental as renting a residential dwelling unit to transient guests for 28 days or less, Airbnb and Vrbo listings included, and requires an annual license for each dwelling unit. The license expires one year after issue and "is not transferable to another person or location" (city Short Term Rentals page; City Code ch. 3.40). An LLC is a different person from you, so expect a new application when the property moves. In the districts the city lists (SF-10, SF-5, TF-3, MF-18 and MF-29), an owner-occupied short-term rental is allowed by right and one that isn't needs a zoning Administrative Permit. Abutting owners have two weeks from the approval letter to protest in writing, and if more than 50 percent of eligible properties protest, the permit is denied and the applicant can seek a Conditional Use (same page). The page doesn't say how it treats an entity as an owner for the owner-occupied test, so ask the Planning Department before you deed a property to an LLC. Short-term rentals aren't permitted in residential zoning districts in unincorporated Sedgwick County. I couldn't find a citywide long-term rental registry on the pages I could read.

Kansas City, Kansas. The Unified Government says all landlords of residential rental property must keep a valid rental license under City Ordinance 66057, the owner is responsible for getting it, and all residential rental licenses expire April 30 each year (Neighborhood Resource Center rental licensing page). Short-term rentals on platforms like Airbnb are commercial uses that need a special use permit: a pre-application meeting, a home inspection, a notarized application with an affidavit of ownership and a title report, a neighborhood meeting, approval by the Planning Commission and the Board of Commissioners, and then a publication fee, a business license and insurance (Planning & Urban Design Short-Term Rentals page). Ask the Unified Government whether a permit carries over when the property moves to your LLC.

Overland Park. The city says "A rental license is required for all rental homes in Overland Park" and ties it to an inspection program whose listed topics are mostly exterior: premises identification, wall surfaces, roofing, stairs and decks, vehicles, and tall weeds and grass (city Rental Licensing and Inspection page). That page didn't state a fee or a short-term rental rule, so ask the city.

Elsewhere. Rental rules are local. Ask your city or county before the first lease.

What the LLC protects, and what it doesn't

Kansas's LLC Act says "no member or manager of a limited liability company shall be obligated personally for any such debt, obligation or liability of the limited liability company solely by reason of being a member or acting as a manager of the limited liability company" (K.S.A. 17-7688(a)). An operating agreement or another agreement can make a member or manager personally liable for some or all of the company's debts (§ 17-7688(b)).

  • Guarantees still bind you. A personal guarantee you sign for a lender is your own promise.
  • Your own acts are yours. The protection covers liability that comes solely from being a member or manager; ask a Kansas attorney about your own negligence.
  • It isn't insurance. The LLC still needs coverage that pays claims and defense costs.

One LLC, or one per property?

Separate LLCs keep one property's judgment away from the others, at $85 online each to form and an information report every two years for every LLC. Kansas also allows series LLCs: an operating agreement can set up designated series with separate rights, powers or duties for specified property (K.S.A. 17-76,143(a)). A series' debts stay with that series only if the operating agreement provides for it, the records account for the series' assets separately, notice of the limitation is in the articles of organization, and a certificate of designation is filed for each series (§ 17-76,143(c)). Unless the operating agreement says otherwise, a series can hold title to real property in its own name, and assets may also be held in the company's name or through a nominee (§ 17-76,143(c)). The paperwork is its own cost: the Secretary of State's articles for an LLC that may create series (Form LAO) list a $90 paper fee, each series' certificate of designation (Form LCD) is $35 on paper, and the report fee falls on "each limited liability company or series" (§ 17-76,139(f)). The Secretary of State's instructions say a series' information report can't be filed online ($110 on paper, Form ILC). The statute doesn't tell you whether a lender, a title company or a court in another state will honor the wall between series. Ask a Kansas attorney whether a series fits. Form it where the property is, or register there

The simplest setup is a Kansas LLC for Kansas property. If you already have an LLC from another state, Kansas says "Before doing business in the state of Kansas, a foreign covered entity shall register with the secretary of state" (K.S.A. 17-7931). The list of activities that don't count as doing business includes maintaining bank accounts, borrowing or lending with or without a mortgage, collecting debts and foreclosing, and an isolated transaction completed within 30 days (§ 17-7932(a)). The list is introduced with "include," so it isn't exhaustive, and owning and leasing rental property isn't on it. Ask a Kansas attorney before you rely on any exception.

Registering takes Form FA, filed on paper, for $115. The application names a Kansas resident agent and registered office, states under penalty of perjury that the LLC is in good standing at home, and consents to service of process on the Secretary of State (§ 17-7931(d), (f), (g); Form FA). If the LLC began doing business in Kansas earlier, the Secretary of State requires every information report that would have come due in the last 10 years to be filed with the application, plus a one-time $85 penalty if any are filed after the forfeiture date (Form FA instructions). An unregistered foreign LLC "may not maintain any action, suit or proceeding" in Kansas until it registers and pays the fees and penalties for the years it did business, which matters if you ever sue a tenant. Your contracts stay valid, and members aren't liable for the LLC's obligations solely because it did business unregistered (§ 17-76,126).

What it costs the state

  • Articles of Organization: $85 online or $90 on paper (Secretary of State Form DL instructions, revised 2/27/26; K.S.A. 17-76,136(b))
  • Annual report: none each year. Kansas's business entity information report is due every two years by April 15, $90 online or $110 on paper (K.S.A. 17-76,139(b); Secretary of State Form ILC instructions)
  • Franchise tax: none for tax years 2011 and after (Kansas Department of Revenue franchise tax page)
  • Series LLC: Articles for an LLC that may create series, $90 on paper (Form LAO); certificate of designation for each series, $35 on paper (Form LCD)
  • Foreign LLC application: $115 on paper (Form FA instructions, revised 3/2/26)
  • Reinstatement after forfeiture for a missed report: $35 filing fee plus an $85 penalty plus $110 for each missed report, $230 with one report and $670 with five (Form RL instructions, revised 6/12/26)

Forming the LLC, in order

  1. Pick a name that contains "limited liability company," "limited company," "L.L.C.," "L.C.," "LLC" or "LC" (K.S.A. 17-7920). Check availability with the Secretary of State; if a similar name is in use, you need a Consent to Use of Similar Business Name (Form CN).
  2. Name a Kansas resident agent and a Kansas street address for the registered office; a PO box is not accepted. The agent can be the LLC itself, an individual resident in Kansas, or a domestic or foreign entity registered here (§ 17-7925(a); Form DL).
  3. File Articles of Organization with the Secretary of State ($85 online, $90 on paper). Online filings are processed "within minutes" (Form DL). The articles need the name, the agent and office, and, for a series LLC, the matters in § 17-76,143 (§ 17-7673(a)); use Form LAO for that.
  4. Write an operating agreement. Kansas treats a written, oral or implied agreement as an operating agreement and enforces a one-member LLC's agreement (§ 17-7663(m)), but a written one proves what the members agreed.
  5. Get an EIN and open the LLC's bank account.
  6. Put the LLC's name and an address for notices and service in every lease. The Residential Landlord and Tenant Act requires the landlord to disclose in writing, at or before the start of the tenancy, the name and address of the person authorized to manage the premises and of an owner or a person authorized to act for the owner for service of process; a person who doesn't becomes the landlord's agent for service of process and notices (§ 58-2551).
  7. Get the city rental license or short-term rental permit in the LLC's name, and ask the Department of Revenue whether a short-term rental needs a sales or guest tax registration.
  8. Read the Attorney General notice on the Secretary of State's forms. Effective July 1, 2025, a business or individual that owns or acquires an interest in real property within 100 miles of a military installation in Kansas, Nebraska, Colorado, Oklahoma, Iowa or Texas must register that interest with the Kansas Attorney General within 90 days of registering with the Secretary of State or acquiring the property, if it falls in the notice's list: the government, political parties, corporate entities, agents and citizens of China, Cuba, Iran, North Korea, Russia and Venezuela, designated foreign terrorist organizations, and anyone with a controlling interest in a company formed to hold real property for them.

Forming the LLC doesn't move your deed

Putting your rental in the LLC takes a new deed, recorded with the register of deeds in the county where the property sits (K.S.A. 58-2221). Give the register the LLC's full name and a mailing address someone will check; the register forwards it to the county clerk for tax statements (§ 58-2221).

  • The questionnaire. The register of deeds may not record a deed unless it comes with a real estate sales validation questionnaire completed by the grantor, grantee or an agent (K.S.A. 79-1437c). The register keeps it five years and doesn't file it of record. Falsifying the value is a misdemeanor, fined up to $500 (§ 79-1437g, printed on the form).
  • Exemptions. Section 79-1437e lists them, including a transfer "by way of gift, donation or contribution stated in the deed or other instrument" and one "to or from a trust, and without consideration." The Department of Revenue tells registers that a deed stating "without consideration" or a nominal value is treated as a gift and accepted without the questionnaire, but a deed reciting "$1 and other valuable consideration" needs one, and an exempt deed must state the exemption on its face because the register may not add it (Directive #19-041). Whether your deed to your own LLC fits an exemption is a question for your attorney.
  • The recording fee is per page. The statute sets $17 for the first page and $13 for each added page, plus $3 and $1 a page (K.S.A. 28-115(a)(5), (b), (i)). Johnson and Sedgwick counties publish $21 for the first page and $17 for each added page. I found no transfer or deed tax in § 28-115 or in those two counties' fee schedules, and Sedgwick's says no mortgage tax is collected starting January 1, 2019.

Have a Kansas attorney prepare the deed and decide on the questionnaire.

Check the mortgage before you transfer

Federal law lets a lender enforce a due-on-sale clause, and a transfer to an LLC isn't one of the exceptions for 1–4 unit homes (12 U.S.C. § 1701j-3(d)). Fannie Mae allows a transfer to an LLC the borrower controls for loans it acquired on or after June 1, 2016 (Fannie Mae Servicing Guide D1-4.1-02). Ask your servicer in writing.

Insurance and taxes

Tell your insurer before title moves. For federal income tax, a single-member LLC is disregarded unless it elects corporate treatment (IRS). Kansas follows the federal classification: for any state tax, an LLC is treated as a partnership unless it is classified otherwise federally, in which case it takes that classification (K.S.A. 17-76,138). The Department of Revenue says there is no Kansas franchise tax for tax year 2011 and after.

  • Short-term rentals can owe sales tax and a local guest tax. The Department's Publication KS-1540 (rev. 7-29-25) says sales tax applies to renting sleeping rooms at a "hotel," which for that purpose has at least four sleeping rooms available to the general public, and that an "accommodation broker" with an inventory of two or more rooms collects it regardless of the length of stay. Transient guest tax is a local option, applies only to stays of 28 consecutive days or less, and starts at three rooms for a hotel or two for an accommodation broker. I can't tell from the publication whether a single-house listing meets those thresholds, so ask the Department and your city.

Keeping each LLC in good standing

  • File the information report every two years by April 15. An LLC that filed its formation documents in an even-numbered year reports in even-numbered years, and one formed in an odd-numbered year reports in odd-numbered years (K.S.A. 17-76,139(b); Secretary of State information reports page). It names each member who owns at least 5% of the capital with a postal address, and the principal office (§ 17-76,139(c)). The Secretary of State says every filed document is public record.
  • The Secretary of State gives a three-month delinquency interval after the due date. After that "a business will forfeit," and a forfeited business can't file any other document with the Secretary of State until it has submitted its past-due reports and been reinstated (information reports page). The statute forfeits the articles if the report and fee aren't in within 90 days (§ 17-76,139(g)).
  • Reinstating means a certificate of reinstatement, every missed report from the last 10 years, and the fees: $230 with one missed report (§ 17-76,146; Form RL instructions).
  • Keep the resident agent current. If the agent resigns and no successor is named within 60 days after the resignation certificate, the Secretary of State declares the LLC's organizing documents forfeited (§ 17-7929(b)).
  • Renew city licenses on their own clocks: Lawrence's rental license on the date its code assigns by name and its short-term license before December 1, Kansas City, Kansas's by April 30.

Before you file or transfer a property

  • Attorney: the deed, the questionnaire exemption, series vs. separate LLCs, foreign registration
  • Servicer: is the transfer allowed?
  • Insurance agent: named insured, coverage
  • CPA: income tax and, for short-term rentals, sales and guest tax
  • City: rental license, short-term rental license or special use permit in the LLC's name
  • Calendar: April 15 report every two years; city license renewals
