There is hereby created the Oklahoma City Convention and Visitors Commission.

§ 2-702. - Composition and appointment.
(a) The Oklahoma City Convention and Visitors Commission shall consist of 17 members appointed by the Mayor with the consent and approval of the Council. The members shall serve without compensation and shall be residents of the City, or shall own, or be employed, by a business in the City and shall reside in the Oklahoma City Metropolitan Statistical Area as defined by the United States Bureau of the Census. Of the members so appointed:
(1) three shall be nominated by the Oklahoma City Chamber of Commerce; and
(2) five shall be nominated by the Oklahoma City Hotel/Motel Association; and
(3) two shall be nominated by the Commission from among restaurants, attractions and visitor-related businesses other than hotel/motels; and
(4) one shall be nominated by the City Manager; and
(5) one shall be selected by the Mayor from among the members of the Council; and
(6) five shall be citizens of the City selected by the Mayor.
In making nominations pursuant to this subsection, not less than two nominees shall be submitted for consideration of the Mayor for each vacancy to be filled.
(b) Notwithstanding the provisions set forth in Subsection (a) above, all members of the Oklahoma City Convention and Visitors Commission in office prior to January 1, 2005, shall continue to serve the remainder of their respective terms of office; but upon the expiration of such terms of office, their successors shall be appointed in the manner provided in Subsection (a) of this section.

§ 2-703. - Term of members; removal of members; filling vacancies.
(a) The members of the Oklahoma City Convention and Visitors Commission shall serve for a term of three years or until their successor is appointed. The term shall expire on June 30 in the year in which the term would normally expire regardless of the date of appointment.
(b) Notwithstanding Subsection (a) above, initial appointment of members as set forth in this section shall conform to the following:
(1) members initially appointed pursuant to Section 2-702(3) shall be so appointed within 60 days of the enactment of this division and their term shall expire on June 30, 1991.
(2) the term of the members initially appointed pursuant to Section 2-702(4) and (6) shall expire on June 30, 1992, regardless of the date of appointment.
(3) the term of the member initially appointed pursuant to Section 2-702(5) shall expire on June 30, 1993, regardless of the date of appointment.
(4) the term of one of the three members initially appointed pursuant to Section 2-702(1) shall expire on June 30, 1991; one shall expire on June 30, 1992; and one shall expire on June 30, 1993. The expiration of memberships pursuant to this paragraph shall be determined by the Oklahoma City Chamber of Commerce and expiration of terms shall occur on dates set forth herein regardless of the date of appointment.
(5) the term of one of the three members initially appointed pursuant to Section 2-702(2) shall expire on June 30, 1991; one shall expire on June 30, 1992; and one shall expire on June 30, 1993. The expiration of memberships pursuant to this paragraph shall be determined by the Oklahoma City Hotel/Motel Association and expiration of terms shall occur on the dates set forth herein regardless of the date of appointment.
(6) all current members of the Commission at the time of enactment of this division shall serve until the expiration of their current terms or until successors are appointed as set forth above. Members may be removed for cause. A member appointed to fill a vacancy shall serve the remainder of the unexpired term.

Oklahoma City Municipal Code § 2-704 Meetings and officers.
§ 2-704. - Meetings and officers.
(1) Nine members of the Oklahoma City Convention and Visitors Commission shall constitute a quorum and business may be transacted by a simple majority of a quorum. The Commission shall select from its members a Chair who shall serve for a period of one year. The meetings and hearings of the Commission shall be called by the Chair. The Commission shall also select from its members a Vice-Chair who shall serve for a period of one year. The Vice-Chair shall serve in the same capacity as the Chair in the Chair's absence. The Commission shall comply with all notice requirements as set forth in the Oklahoma Open Meeting Act (25 O.S. § 301 et seq.).
(2) The Chair may appoint such standing or ad-hoc committees or task forces as deemed necessary and appropriate. A quorum of each committee is defined as a simple majority of the appointed membership. All committees appointed by the Chair must include a minimum of one appointee from each of the four multi-appointee constituencies of the Oklahoma Convention and Visitors Commission.

Oklahoma City Municipal Code § 2-705 Functions.
§ 2-705. - Functions.
The functions of the Oklahoma City Convention and Visitors Commission are as follows:
(1) to provide recommendations to the City Council or the City's designated convention and visitor promotion agency, as appropriate, regarding the promotion and enhancement of the City's convention, tourism and visitor based economy;
(2) to approve an annual budget to be submitted to the City Council together with the goals, objectives and performance measures for the forthcoming year in support of the proposed annual funding contract;
(3) to receive and provide to the City Council at least quarterly a summary of the activities of the agency including a financial accounting of contract funds and the performance measures for the year to date;
(4) in accordance with Section 52-81.1(3) of this Code, to recommend to the City expenditure of Hotel Tax proceeds dedicated for the sponsorship and/or promotion of events anticipated to enhance the local economy through increased convention and/or tourism (visitor) activity in the City.
