16-19-103. Nature, purpose, and duration of limited partnership. (1) (a) A limited partnership is an entity distinct from the limited partnership's partners. (b) A limited partnership is the same entity regardless of whether the limited partnership's certificate states that the limited partnership is a limited liability limited partnership.
